1. Introduction

Welcome to NoteDx. By accessing and using NoteDx (“App”), you agree to comply with and be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use our App. These Terms govern your access to and use of the app, including any services provided therein. Please read these terms carefully before using the app.

2. Compliance with Privacy Laws

The app complies with PIPEDA (Canada) and Quebec’s Bill 64 for the processing of personal information.

Users from the United States: This app is not HIPAA-compliant. By using this app, you agree not to include personally identifiable information (PII) or protected health information (PHI) unless you have ensured compliance with your local regulations.
Users from the European Union: The app is not GDPR-compliant. You are responsible for ensuring compliance with GDPR when using the app.
Users from other regions: By using this app, you agree to comply with your region’s applicable privacy laws.

3. Dictation Mode

Users may use the dictation mode to input data without including PII or PHI.

The app provides functionality suitable for use without entering sensitive personal or health-related data.
Users are responsible for ensuring that no PII or PHI is included in this mode.

4. Conversation Mode

The conversation mode may capture sensitive data, including PII or PHI.

Users from the U.S. and Europe are advised not to use this mode as it is not compliant with HIPAA or GDPR.
By using this mode, you acknowledge that you are responsible for ensuring compliance with your region’s privacy laws.

5. User Consent and Responsibility

By using this app, you:

Agree that you are responsible for ensuring compliance with your local privacy regulations.
Acknowledge that the app does not store or retain PII or PHI beyond temporary processing and complies with Canadian privacy standards.
Agree that if you use the conversation mode, you are responsible for any potential non-compliance with privacy laws such as HIPAA and GDPR.

6. Data Processing

All data processing, including transcription and storage, takes place in Canada. The app adheres to strict Canadian privacy laws, including PIPEDA and Quebec’s Bill 64. Users are responsible for ensuring that the data entered complies with their region’s privacy regulations.

7. Limitation of Liability

The app provider is not liable for any misuse of the app, including:

The inclusion of PII or PHI in a non-compliant manner.
Violations of HIPAA, GDPR, or any other regional privacy laws.
By using the app, you acknowledge that it is your responsibility to ensure compliance with applicable privacy regulations.

8. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will take effect immediately upon being posted on NoteDx. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

9. Payment and Subscription

Pricing: Use of the Services requires a monthly subscription of $39.99 CAD, with the option to cancel at any time.
Free Trial: A 14 day free trial is offered without requiring a credit card.
Billing: Fees are billed in advance on a recurring monthly basis unless otherwise stated.
Cancellation: You may cancel your subscription at any time through your user account.
Secure Payment: All payments are securely processed via Stripe. Refunds are managed by Stripe's refund policy.

10. Description of Services

NoteDx provides a medical note-taking and management solution designed for healthcare professionals. Our App functions as a dictation tool or can automatically transcribe conversations into detailed medical notes and differential diagnosis suggestions and management using artificial intelligence.

11. Disclaimers Regarding AI-Generated Content

No Responsibility for Accuracy and Validity: All content generated by NoteDx, including but not limited to medical notes, differential diagnoses, and management plans, is produced by artificial intelligence. Technologies Médicales JLA, Shiftpal Inc. does not guarantee the accuracy, completeness, or validity of any AI-generated content.
User Responsibility: It is the user’s sole responsibility to verify and validate any AI-generated content before relying on it for any medical decision or action. Users should consult qualified healthcare professionals as needed.
No Legal Liability: Technologies Médicales JLA, Shiftpal Inc. will not be legally responsible for any errors, omissions, or inaccuracies in AI-generated content or for any action taken based on such content.
Not a medical device.NoteDx must not be used to provide diagnoses or calculations. JLA Medical Technologies and Shiftpal Inc cannot be held responsible if the user uses NoteDx as a medical instrument or for any other undeveloped functionality.

12. Intellectual Property

All content on NoteDx, including text, graphics, logos, images, audio recordings, podcasts, and articles, is the property of Technologies Médicales JLA, Shiftpal Inc. or its licensors and is protected by copyright and intellectual property laws.

13. License to Use

We grant you a limited, non-exclusive, and revocable license to access and use the Services for your personal, non-commercial use. Any commercial use or distribution of the Services is strictly prohibited.

14. Usage Restrictions

You must not:

Use the Services in an illegal manner or transmit illegal materials.
Infringe on copyrights, trademarks, or other intellectual property rights.
Use the Services to transmit viruses or other malicious code.
Attempt to decompile, disassemble, or reverse-engineer any software contained on NoteDx.
Use the Service in a way that harms or disrupts the functionality of the Services or networks connected to the Services.

15. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to if you violate the Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the province of Quebec, Canada. Any disputes related to these Terms will be subject to the exclusive jurisdiction of the courts in Quebec.
